SphereUs℠ Platform Terms of Use

1. About SphereUs℠

SphereUs℠ is a community-based marketplace and services platform operated by SphereUs Corporation ("SphereUs," "we," "us," or "our"), headquartered in the United States. SphereUs connects community members who offer skills, assets, certifications, and services ("Providers") with individuals and organizations seeking those services ("Buyers") through sphereus.com and related digital properties. SphereUs Corporation also operates SUN Youth℠, the SphereUs Foundation℠, Golf Your Age℠, and other affiliated divisions, each governed by their respective agreements in addition to these general terms.

2. Acceptance of Terms

By creating an account on sphereus.com, accessing any SphereUs service, or checking the agreement box during registration, you ("Member," "you," or "your") agree to be bound by these Terms of Use. If you do not agree, you may not create an account or use the platform. These Terms apply to all members regardless of membership tier (Free, Buyer, or Premier). Tier-specific rights and responsibilities are addressed in the Buyer Member Agreement and Premier Member Agreement respectively.

3. Eligibility

You must be at least 18 years of age to create a SphereUs account as an individual member. Individuals between the ages of 12 and 17 may participate exclusively through the SUN Youth℠ program under the supervision of a verified legal guardian who holds a Premier membership. Minor participation is strictly governed by the SUN Youth℠ Guardian Enrollment Agreement and the SUN Youth℠ Student Member Agreement. SphereUs reserves the right to request proof of age or identity at any time. Any account found to have misrepresented the account holder's age will be immediately suspended. By registering, you represent and warrant that all information you provide is accurate, current, and complete, and that you will maintain the accuracy of that information throughout your membership.

4. Community Standards

SphereUs is built on trust, respect, and mutual benefit. All members agree to: • Treat all other members with dignity and respect regardless of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, age, or veteran status • Provide honest, accurate representations of their skills, credentials, and services • Honor commitments made to other members through the platform • Refrain from any fraudulent, deceptive, or harmful conduct • Report any suspected violations to support@sphereus.org SphereUs has zero tolerance for discrimination, harassment, or exploitation of any member, particularly minors enrolled in SUN Youth℠.

5. Strict Prohibition: Conduct Involving Minors

SphereUs operates a youth employment program (SUN Youth℠) that involves minors ages 12–17. The following conduct is a MATERIAL BREACH of these Terms, will result in IMMEDIATE PERMANENT ACCOUNT TERMINATION, and will be reported to law enforcement and the National Center for Missing and Exploited Children (NCMEC) as required by law: • Any attempt to contact a SUN Youth℠ participant directly outside the SphereUs platform, by any means (text, social media, in person, or otherwise), except in the guardian's presence during an approved gig • Any attempt to solicit, groom, or engage in any personal, romantic, or sexual communication with a minor participant • Any attempt to access a minor's personal information beyond what is disclosed by the platform for a specific approved gig • Requesting services from a minor that violate federal or state child labor laws, including but not limited to hours restrictions, hazardous work prohibitions, or prohibited occupations for minors • Any sexual exploitation, abuse, or attempted exploitation of any minor on or through this platform SphereUs complies with 18 U.S.C. § 2258A (NCMEC reporting), 18 U.S.C. § 2422 (online enticement), and all applicable federal and state laws protecting minors. We will cooperate fully with any law enforcement investigation involving a minor's safety.

6. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify SphereUs immediately at support@sphereus.org if you become aware of any unauthorized access to your account. SphereUs is not liable for losses resulting from unauthorized account access that occurs through no fault of SphereUs. Guardians are additionally responsible for ensuring that no minor participant has unsupervised access to the guardian's SphereUs account.

7. Prohibited Conduct (General)

The following conduct is strictly prohibited on the SphereUs platform: • Creating multiple accounts or impersonating another person • Using automated scripts, bots, or AI tools to misrepresent your work or activity • Soliciting members off-platform to circumvent SphereUs's marketplace • Posting false reviews, ratings, or testimonials • Sharing, selling, or transferring your account to another person • Using the platform for any unlawful purpose • Attempting to access another member's private data Violations may result in immediate account suspension or permanent termination at SphereUs's sole discretion.

8. Privacy and Data

SphereUs collects and processes personal data in accordance with our Privacy Policy, available at sphereus.com/PrivacyPolicy. By using the platform you consent to those practices. For members enrolled in SUN Youth℠, additional COPPA-compliant protections apply to all minor data. SphereUs does not sell personal data to third parties.

9. Background Check Disclosure

IMPORTANT: SphereUs does not conduct criminal background checks on Buyers, Providers, or any other adult member of the platform. Identity verification through Stripe Identity (where completed) confirms identity only — it is not a criminal background check and does not indicate that a member is safe to interact with minors. Guardians are strongly encouraged to independently evaluate any Buyer before allowing their child to perform services. SphereUs provides the platform and compliance infrastructure but cannot and does not guarantee the character, intentions, or safety of any individual member.

10. Intellectual Property

All content on sphereus.com, including the SphereUs℠ name, SUN Youth℠ name, Golf Your Age℠ name, SphereUs Foundation℠ name, logos, design elements, and platform technology, is the exclusive intellectual property of SphereUs Corporation. You may not reproduce, distribute, or create derivative works from any SphereUs content without express written permission.

11. Indemnification

You agree to indemnify, defend, and hold harmless SphereUs Corporation, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the SphereUs platform; (b) your breach of these Terms; (c) your provision or receipt of services through the platform; (d) any harm caused by you to a minor participant or their guardian; (e) any violation of applicable law by you, including child labor laws. This indemnification obligation applies with particular force to any Buyer found to have engaged in conduct harmful to a SUN Youth℠ participant.

12. Limitation of Liability

SphereUs provides the platform as a marketplace intermediary. SphereUs is not a party to service agreements between Buyers and Providers and is not liable for the quality, safety, legality, or outcome of any service transacted on the platform. To the maximum extent permitted by law, SphereUs's total liability to any member shall not exceed the greater of $500 or the total fees paid by that member to SphereUs in the six months preceding the claim. Nothing in this limitation of liability shall be construed to limit SphereUs's obligations under COPPA, FERPA, or any other federal or state law protecting minors.

13. Dispute Resolution & Class Action Waiver

SphereUs encourages members to resolve disputes informally first by contacting support@sphereus.org. If a dispute cannot be resolved informally within 30 days, both parties agree to submit to binding arbitration administered under the rules of the American Arbitration Association (AAA), conducted INDIVIDUALLY (not as a class, collective, or representative action) in the state where the member resides. You expressly waive any right to bring or participate in any class action lawsuit or class-wide arbitration. EXCEPTION: Claims involving the safety, wellbeing, or rights of a minor are not subject to arbitration and may be brought in any court of competent jurisdiction. Guardians may bring claims on behalf of minor participants in court without waiving the right to a jury trial. Governing law shall be that of the state of the member's primary residence, except that COPPA and federal law shall govern all matters relating to the collection, use, or disclosure of minor data.

14. Termination

Either party may terminate membership at any time. SphereUs may suspend or terminate your account immediately for violations of these Terms, fraudulent activity, or conduct harmful to the community or any minor. Upon termination, your access to the platform ceases; however, SphereUs retains legal documents, compliance records, labor records, and attestations as required by law. Accounts terminated for conduct harmful to a minor will be flagged and reported to appropriate authorities.

15. Changes to These Terms

SphereUs may update these Terms periodically. Material changes will be communicated via email and/or in-platform notification at least 14 days before taking effect. Continued use of the platform after that date constitutes acceptance of the updated Terms. Changes that materially affect the rights of minor participants or their guardians will require renewed guardian consent before taking effect.

16. Electronic Signatures & E-SIGN Act Consent

By using the SphereUs℠ electronic signature process — whether by typing your full legal name or drawing your signature through the SphereUs platform — you expressly consent to the use of electronic signatures and electronic delivery of agreements pursuant to the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and, where applicable, the Uniform Electronic Transactions Act (UETA). You agree that your electronic signature has the same legal effect, validity, and enforceability as a handwritten signature. Signed agreements are stored as timestamped PDF records in your SphereUs Document Center.

17. Disclaimer of Warranties

THE SPHEREUS℠ PLATFORM AND ALL SERVICES, CONTENT, AND FEATURES AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPHEREUS CORPORATION EXPRESSLY DISCLAIMS ALL WARRANTIES — EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE — INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SPHEREUS DOES NOT WARRANT THAT: (a) THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (b) DEFECTS WILL BE CORRECTED; (c) THE PLATFORM IS FREE OF VIRUSES OR HARMFUL COMPONENTS; OR (d) ANY PROVIDER, BUYER, OR MEMBER WILL PERFORM AS REPRESENTED IN THEIR PROFILE. YOUR USE OF THE PLATFORM AND RELIANCE ON ANY CONTENT, REVIEW, OR MEMBER REPRESENTATION IS ENTIRELY AT YOUR OWN RISK. Nothing in this disclaimer limits SphereUs's obligations under COPPA, FERPA, or applicable law protecting minor participants.

18. Insurance Disclosure

IMPORTANT: SPHEREUS CORPORATION DOES NOT PROVIDE, ARRANGE, OR GUARANTEE ANY INSURANCE COVERAGE FOR SERVICES TRANSACTED ON THE PLATFORM, INCLUDING SUN YOUTH℠ GIGS. Members who hire Providers — including SUN Youth℠ participants — through the SphereUs platform are strongly encouraged to: • Verify that their existing homeowner's, renter's, or general liability insurance covers third-party service workers on their property • Obtain additional liability coverage if needed before engaging any Provider for work at their home, property, or business • Review any applicable state laws regarding liability for workers on private property Providers (including Premier Members) are responsible for maintaining any insurance coverage required or advisable for their service category. SphereUs does not provide workers' compensation, general liability, tools, or equipment insurance to any Provider. SUN Youth℠ Buyers are specifically advised: if a minor participant is injured while performing a gig at your property, your homeowner's or premises liability insurance is the primary coverage mechanism. SphereUs's platform fees do not include any insurance component.
